Please read these rules before participating in Digital Folio's Target.com Holiday Hot List Promotion ("Promotion"). You agree that, by participating, you will be bound by these Official Rules and you acknowledge that you satisfy all eligibility requirements.

Eligibility. If you are an individual legal resident of the 50 United States or the District of Columbia and are 18 or older at the time of entry, you are eligible to participate in the Promotion. Digital Folio employees, their immediate family members (spouses, domestic partners, parents, grandparents, siblings, children and grandchildren), and our affiliates, advisors or advertising/promotion agencies (and their immediate family members) are not eligible to participate in the Promotion.

How to Enter. You may participate in the Promotion each day from 10:00am to 10:00pm Eastern Time beginning Monday, December 12th and Ending on Tuesday January 31, 2012 (the "Promotion Period"). To participate in the Promotion, during the Promotion Period you must: (1) Download and install the Digital Folio sidebar application for your browser if you have not already done so; (2) Create a free account with Digital Folio if you have not already done so; (3) Shop for toy items by either adding desired Target toys to your Folio ‘Shopping List' or using Digital Folio's Price Compare feature while browsing for similar toys carried by Target at the following web sites: Target.com, Amazon, Walmart.com, Sears.com, or BestBuy.com; (4) Have your Digital Folio sidebar application open and be logged in during the defined Promotion Period time slots to see and receive promotions made available during that slot. Limit one Digital Folio account per customer during the Promotion Period. You may not use multiple customer accounts to participate in the Promotion. Customers may receive up to one type of each promotion offer.

Prizes. We will award at total of $4,955 in Target eGiftCards ("EGC") consisting of three Promotion Types ("Promotion Types") of $5, $10, and $25 denomination eGiftCards. Participants must have or will need to create a Digital Folio account in order to receive access the EGC information. The EGC may only be used for purchases of eligible goods on Target.com. Redemption of the EGC will be subject to the standard terms, conditions and restrictions applicable to Target.com Gift Cards in effect on the day of issuance of the EGC. The EGC cannot be redeemed for the purchase of gift cards. Except as required by law, the EGC cannot be reloaded, resold, transferred for value, redeemed for cash, or applied to any other account. Digital Folio is not responsible if any EGC is lost, stolen, destroyed or used without permission. If the EGC is lost or stolen, it will not be replaced. Odds of Winning. Odds of winning depend on the number of participants in the promotion.

Additional Terms. We may, to the maximum extent permitted by applicable law and in our sole discretion, change these rules or cancel the Promotion at any time; or modify, terminate, or suspend the Promotion should viruses, worms, bugs, unauthorized human intervention, or other causes beyond our control corrupt or impair the administration, security, fairness, or proper use of the Promotion. We are not responsible for: (a) lost, misdirected, late, incomplete, or unintelligible promotions or for inaccurate entry information, whether caused by you or by any of the equipment or programming associated with or utilized in the Promotion, or by any technical or human error that may occur in the processing of entries; (b) any printing or typographical errors in any materials associated with the Promotion; (c) any error in the operation or transmission, theft, destruction, unauthorized access to, or alteration of any EGC, or for technical, network, telephone, computer, hardware or software malfunctions of any kind, or inaccurate transmission of, or failure to receive any EGC or to access the Digital Folio sidebar or DigitalFolio.com on account of technical problems or traffic congestion on the Internet or at any website; or (d) injury or damage to your or any other computer resulting from downloading any materials in connection with the Promotion. We may, in our sole discretion, disqualify any individual found to be: (x) tampering with the issuing process or the operation of the Promotion, Application, or website; (y) acting in violation of these rules; or (z) acting in an unsportsmanlike or disruptive manner or with intent to annoy, abuse, threaten, or harass any other person. If your participation is incomplete or if you use robotic, automatic, programmed, or similar participation methods, your participation will be void. The authorized subscriber of the e-mail account used to participate in the Promotion at the actual time of entry will be deemed to be the participant and must comply with these rules in the event of a dispute as to participation by multiple users sharing the same e-mail account. The authorized account subscriber is the natural person who is assigned an e-mail address by an Internet access provider, on-line service provider, or other organization responsible for assigning e-mail addresses for the domains associated with the submitted e-mail addresses. No greater than the total amount of prizes stated in these Official Rules will be awarded.

Miscellaneous. The Promotion is governed by the laws of the United States. The Promotion and all accompanying materials are © 2011 by Digital Folio, Inc. All rights reserved. If you receive an EGC, you may not transfer, assign, or redeem the prize for cash. We may substitute an EGC with an EGC of equal or greater value. The Promotion recipient agrees (for himself or herself and his or her heirs) that, by accepting an EGC, we, along with our affiliates and agents, will have no liability, and will be held harmless by the Promotion recipient for any liability, loss, injury, or damage to property or person, including death, and reasonable attorney's fees and court costs, due in whole or in part, directly or indirectly, by reason of the acceptance, possession, use, or misuse of an EGC or participation in the Promotion, even if caused or contributed to by our negligence. You agree that our decisions related to the Promotion and all related EGC distributions are final. Promotion recipients agree that, by participating in the Promotion, we may use the recipient's First name and City and State in any manner and in any medium for our promotional purposes without additional compensation, except where prohibited by law.
